Distributor Terms & Conditions

The following Terms and Conditions are to be read together with (the "Application) The Distributor Agreement (the"Agreement"), of which these Terms and Conditions form an integral part, becomes binding between Healing Hands and the and the identified individual (the "Applicant") if and when Healing Hands in its sole discretion, accepts the Application.

1. Appointment: Healing Hands hereby registers the identified Applicant as a distributor of Healing Hands and the Applicant consents to such registration.

2. Effective Date: This Agreement becomes affective from the date of acceptance of the Application by Healing Hands. Healing Hands will communicate its acceptance through providing the Distributor with information required to place orders.

3. Ordering: The Distributor may place orders when he/she has received required information from Healing Hands and completed any subsequent formalities.

4. Duration: This Agreement shall remain valid unless terminated in writing by the Distributor or Healing Hands.

5. Loyalty Program: The Distributor shall automatically be enrolled in the Loyalty Program (the "Program"), the Term & Conditions of which are incorporated herein by way of reference & are available at www.hhindia.in.

6. Amendment of the Agreement by Healing Hands: Healing Hands may from time to time amend the Agreement, inclusive of the Program, through notice on its website www.hhindia.in. If the Distributor does not agree to be bound by such amendments, he/she may terminate the Agreement in accordance with Clause 7 hereof. Otherwise, the Distributors continued relationship with Healing Hand constitutes an affirmative acknowledgment by him/her of the amendment (s), and his/her agreement to be bound by the same.

7. Termination: The Distributor may terminate this Agreement at any time by giving a written notice to Healing Hands. The Agreement shall terminate automatically, with immediate effect, in the event that the Distributor is appointed or reappointed as a Healing Hands Distributor. Healing Hands may with immediate effect, terminate this Agreement for cause or due to legal or regulatory requirements by giving a written notice to the Distributor.

8. Login and Password: The Distributor agrees that he/she shall not disclose, land, divulge or otherwise permit any other party to use his/her login ID or password for any purpose whatsover, including, but not limited to, the purchase of Healing Hands Products from Healing Hands.

9. Conditions of Sale:

9.1 Ordering and Invoices: The supply of Products by Healing Hands under an invoice that he subject to the following provisions:

a) Weight measures and statement as to quantity, quality, date of manufacture and other descriptive data as contained on the packing shall be presumed to be correct.

b) The Distributor shall have legal title to the Products when they are handed over to the Distributor on the Carrier, as the case may be.

c) The distributor must verify conformity of the Products with the order before accepting delivery.

d) Prices are inclusive of altaxes as on the date of sale.

e) Refunds of GST & statutory levies already collected will be governed by Healing Hands Refund Policy.

f) Healing hands is not liable for delays or non-delivery of Products by the carrier due to Force Majeure or other circumstances beyond jegreasonable control, or any direct or indirect loss or damages arising there from.

g)Each lot/installment of Products delivered under an invoice shall deem to be sold under a separate contract.

9.2 Self Consumption: The Distributor agrees that he/she shall use the Products purchased from Healing Hands for his/her self-consumption only, and shall neither resell the Products nor use the same for any commercial purpose.

9.3 Returns: The Distributor may return any Product to Healing Hands within 30 days of purchase as per the Refund Policy published on www.hhindia.in as it may be updated from time to time.

10. No Assignment: This Agreement is entered into on a personal basis and neither this Agreement nor any of the rights or obligations of the Distributor hereunder may be assigned or transferred without the prior written consent of Healing Hands.

11 Severability: If any provision of these Terms and Conditions is declared invalid or unenforceable the remaining provisions shall remain in full force and effect.

12. Governing Law: This Agreement and all questions of its interpretation shall be governed by and construed in accordance with the laws of the Republic of India.

13. Jurisdiction: This Agreement and all transactions between Healing Hands and the Distributor here under including pursuant to the Loyalty Program, are subject to the exclusive jurisdiction of the Courts at Ludhiana.
